1. User Accounts

To access certain features of IdeoCity, you may be required to register for an account. By creating an account, you agree to:

• Maintain Confidentiality: You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account.
• Provide Accurate Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Account Responsibility: You acknowledge and agree that IdeoCity is not liable for any loss or damage arising from your failure to comply with these obligations.

2. Acceptable Use

Your use of the IdeoCity platform must comply with all applicable laws and regulations. You agree not to:

• Unlawful Purpose: Use the platform for any unlawful, fraudulent, or malicious purpose.
• Prohibited Content: Upload, post, transmit, or share any content that is offensive, defamatory, obscene, harmful, hateful, discriminatory, or infringes upon any third-party intellectual property rights (e.g., copyrighted material without proper permission).
• System Integrity: Attempt to reverse-engineer, decompile, disassemble, exploit, or gain unauthorized access to any part of the service, its underlying code, or associated systems.
• Interference: Engage in any activity that interferes with or disrupts the integrity or performance of the platform or the data contained therein.
• Spam/Malware: Transmit any unsolicited advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, or any material that contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software or hardware.

3. Services & Availability

• Service Provision: We strive to provide uninterrupted access to IdeoCity; however, we do not guarantee 24/7 availability and are not liable for any temporary unavailability due to maintenance, technical issues, or other factors beyond our control.
• Feature Evolution: Features and functionalities of the platform may change over time. Some features may be experimental, beta-only, or subject to limited access. We reserve the right to modify, suspend, or discontinue any part of the service at any time without prior notice.

4. Subscriptions & Payments

• Billing Cycle: Paid plans, if applicable, are typically billed on a monthly or yearly cycle, as selected by you.
• Payment Obligation: You agree to pay all applicable fees and charges associated with your chosen plan on time. Failure to pay may result in the suspension or termination of your service.
• Cancellation & Refunds: You may cancel your subscription at any time through your account dashboard. Please refer to our separate Refund Policy for detailed information regarding eligibility for refunds upon cancellation.

5. Intellectual Property

• IdeoCity Ownership: IdeoCity retains full ownership of all rights, title, and interest in and to the platform, including its design, content (excluding user-submitted content), code, AI logic, trademarks, service marks, and all underlying technology. These Terms do not grant you any right or license to use any of IdeoCity's intellectual property.
• User Inputs & License: You retain ownership of any data, text, images, or other materials you input or upload to the platform ("Your Inputs"). However, by providing Your Inputs, you grant IdeoCity a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display Your Inputs solely for the purpose of operating, improving, and developing our services (including training and enhancing our AI models).

6. Termination

• Termination by IdeoCity: We reserve the right to suspend or terminate your account and access to the platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
• Termination by User: You may delete your account at any time through the settings in your user dashboard. Upon termination, your right to use the platform will immediately cease.
• Survival: All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall IdeoCity, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the platform.
• Any conduct or content of any third party on the platform.
• Any content obtained from the platform.
• Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

The platform is provided "as is" and "as available" without any warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our platform after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the platform.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.
